Biography

Sudhanshu Goil is an Associate Professor of Practice and the Associate Director of the Office of Career Advancement and Mentorship at Jindal Global Law School. He holds a Master of Laws (LL.M.) in Corporate, Banking and Finance Law with concentration on Financial Services Transactions and Securities Transactions from Boston University, USA, where he was also designated as an LL.M. Scholar by the Boston University’s LL.M. Scholar Committee. He has read his law at VIPS, GGSIPU, New Delhi, India.

Prior to joining JGLS, he had been practicing law for a period of (approx.) 17 years, at various law firms in India and was the corporate partner at Khaitan & Khaitan. Sudhanshu is a qualified New York Attorney (admitted to the New York Bar) along with being a member of the Delhi Bar Council. His primary areas of focus are corporate commercial laws where in the past he has not only led clients in corporate commercial transactions involving both equity and debt but has also undertaken several general corporate and advisory assignments.  

On the equity front, he has experience of numerous M&A and private equity transactions which involved the drafting, reviewing, negotiating and finalization of contractual documentation like shareholders agreement, share subscription agreement, share purchase agreement, investment agreements, business transfer agreements, joint venture agreements, escrow agreements, conducting title and corporate due diligence, preparation and issuance of legal opinions, pre closing and closing compliance reports.

On the debt front, he has represented borrowers like corporate groups and non-banking financial institutions, and lenders like public financial institutions and banks. He has extensively undertaken project finance transactions, corporate loan transactions, working capital facility transactions, venture debt transactions, acquisition financing transactions which has led him to have a sound understanding of debt related transaction documents which include the financing, security and project documents. 

In addition to the above, he also has advised on various infrastructure projects and general corporate assignments undertaking legal risk analysis, evaluation of tender documents, formulation of bid queries, review, negotiating and finalization of concession agreements, EPC contracts, other general business contracts, issued opinions, prepared memoranda and strategy memos on various legal issues arising from day to day operations of its business.

Sudhanshu has also had the privilege of advising and representing clients not only on the non-contentious assignments mentioned above but also on contentious matters before the Hon’ble Supreme Court of India, Hon’ble High Court of Delhi, District courts, Arbitration Tribunals and other fora. This exposure across a breath of facets of law has enabled him to develop a well-rounded outlook and nuanced analytic approach to the legal practice.
